These terms govern your use of mnemoptic — the website, the app, and any related service we provide. They are the contract between you (the optician, optical-store owner, or representative thereof) and us (the mnemoptic team). Please read them carefully. They are written in plain language so you can actually do that without falling asleep.

1. Acceptance
By creating a mnemoptic account, subscribing to a plan, or otherwise using the service, you agree to be bound by these terms. If you are using mnemoptic on behalf of a company, partnership, or sole proprietorship, you represent that you have the authority to bind that entity, and "you" in these terms refers to that entity. If you do not agree, do not use the service. We may update these terms; we will notify account holders at least 30 days before any material change takes effect, and continued use after that date constitutes acceptance of the updated terms.
2. License
Subject to these terms and your payment of the applicable fees, mnemoptic grants you a non-exclusive, non-transferable, non-sublicensable license to use the app. The license is tied to your mnemoptic account, not to any single device: you sign in with your account credentials to use the app on the devices you work from. Access is provided for as long as you have an active subscription on the corresponding tier. Lifetime licenses grant the same rights for as long as we operate the service.
3. Acceptable use
You agree not to: (a) resell, sublicense, lease, lend, or otherwise commercially exploit access to the app to anyone outside your own business; (b) reverse-engineer, decompile, or attempt to circumvent the service's access controls or authentication; (c) use the app to store data that violates applicable law (including data acquired or used unlawfully); (d) attempt to overload, probe, or interfere with the service infrastructure; (e) use the service to send spam, phishing, or malware to your patients or anyone else; (f) impersonate mnemoptic in communications with third parties. Violation of any of the above is grounds for immediate suspension and, in severe cases, termination without refund.
4. Service availability
We aim for 99.5% monthly uptime, measured against successful end-to-end requests to the production service, excluding planned maintenance announced in advance. Planned maintenance windows are scheduled during low-traffic periods (typically Sunday 02:00–05:00 UTC) and are announced at least 48 hours in advance. We do not currently offer a contractually binding SLA on the Solo tier. Pro/Practice tier is best-effort with 24-hour ticket response. Chain/Enterprise tier carries a contractual SLA negotiated at signing. Because mnemoptic is delivered through the public internet via Google Firebase, our availability is in part a function of theirs; we monitor and report incidents on both sides.
5. Customer data ownership
The data you put into mnemoptic — patient records, sales, prescriptions, inventory, supplier lists, your logo and brand assets, etc. — is and remains yours. We are a processor; you are the controller. We do not look at your data, mine it for trends, train models on it, sell it, share it, or use it for any purpose other than serving it back to you. You can export the entirety of your operational data as JSON or Excel from inside the app, at any time, with no fee, no rate limit, and no degradation. On termination of your account, you have a 30-day grace window to export before we delete. The detailed privacy and processing terms live in our Privacy Policy, which is incorporated by reference into these terms.
6. Pricing and payment
Current prices are listed on our pricing page and the per-country marketing pages, and are honoured for the term you sign up for. Subscriptions are billed in advance — annually unless we agree otherwise — and lifetime licenses are billed once. Prices are quoted exclusive of VAT or local sales tax, which is added at checkout where applicable.
(a) Payment processing (Stripe)
Payments are processed securely by Stripe (Stripe, Inc. and its affiliates). You enter your card details directly into Stripe's checkout; we never receive or store your full card number. By submitting a payment you also agree to the Stripe terms applicable to payers and acknowledge that your payment data is handled under Stripe's Privacy Policy. We accept the cards and local payment methods Stripe offers at checkout for your country (for example Mada in Saudi Arabia or SEPA Direct Debit in the EU); bank transfer is available on the Chain / Enterprise tier.
(b) Currency
Prices are denominated in US dollars (USD) unless a local currency is shown for your country at checkout. Where a local currency is shown, that is the amount you are charged; where only USD is shown, your bank or card issuer may apply its own conversion rate and fees.
(c) Free trial
Where we offer a free trial (currently 7 days), you may be asked for a payment method when you sign up. Unless you cancel before the trial ends, the trial automatically converts to a paid annual subscription at the then-current price, and your payment method is charged at the end of the trial. You can cancel at any time during the trial — at no charge — from your account or by emailing us, and you will not be billed.
(d) Auto-renewal and cancellation
Subscriptions renew automatically for successive terms of the same length (annual unless otherwise agreed) at the then-current price, charged to your payment method on file, until you cancel. We email you a reminder before each renewal. You can cancel at any time from your account (Manage billing) or by writing to support@mnemoptic.com; cancellation takes effect at the end of the current paid term and you keep access until then. See Refunds below for how money is returned.
(e) Failed payments
If a recurring payment fails, Stripe will retry the card and we will email you. If no successful payment is received within 14 days, the account is moved to read-only and may be suspended until your payment method is updated.
7. Refunds
We offer a 14-day no-questions-asked refund on any new purchase. Write to support within 14 days of purchase and we will refund in full, through Stripe, to your original payment method — typically within 5–10 working days. After the 14-day window, annual subscriptions are refundable on a prorated basis for the unused portion of the current term, less any one-off setup or migration fees. Lifetime licenses are non-refundable after 14 days. Refunds for Chain / Enterprise tier are governed by the specific commercial agreement signed at the time of purchase. Chargebacks initiated without first contacting us are treated as a contract breach and may result in account termination.
8. Termination
You may terminate your account at any time by writing to support@mnemoptic.com. We may terminate or suspend your account for material breach of these terms, with at least 7 days' written notice and an opportunity to cure where the breach is curable. Either party may terminate without cause at the end of the current paid term by giving 30 days' written notice. On termination: (a) your access to the app is removed at end of term; (b) you have a 30-day data-export window from the date of termination; (c) any prepaid amounts beyond the termination date are refunded on a prorated basis (subject to clause 7); (d) clauses that by nature should survive (data ownership, liability, governing law) survive termination.
9. Disclaimer
mnemoptic is a record-keeping and operational tool for opticians. It is not a medical device. It does not diagnose, recommend, prescribe, or substitute for the clinical judgement of a licensed optometrist or ophthalmologist. The app does not perform clinical-decision support and should not be relied on for any clinical recommendation, prescription validation, or contraindication check. As the optician, you retain full professional liability for the care you provide; mnemoptic is a tool you use in providing that care. The app is provided "as is" and "as available" without warranties of merchantability, fitness for a particular purpose, or non-infringement, except where such warranties cannot be excluded under applicable law.
10. Limitation of liability
To the maximum extent permitted by applicable law, mnemoptic's aggregate liability under or in connection with these terms — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — is capped at the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost business, or loss of goodwill, even if advised of the possibility. Nothing in these terms limits liability for fraud, gross negligence, wilful misconduct, or any liability that cannot be excluded by law (such as personal injury caused by negligence in jurisdictions where that exclusion is invalid).
11. Governing law
These terms are governed by, and construed in accordance with, the laws of [your jurisdiction], without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts of [your jurisdiction] for any dispute that cannot be resolved by good-faith negotiation. Where the customer is consumer-protected under the laws of their own country (typically EU consumer law), nothing in this clause overrides such mandatory protections. We will substitute the placeholder above with our actual jurisdiction before going to general availability and will notify all account holders 30 days before that change takes effect.
